

The law firm Drzewiecki, Tomaszek & Partners (DT) advised Haworth Capital GmbH (Haworth Capital) on the purchase of the second tranche of shares in two companies from the Mikomax group — the Fabryka Mebli Biurowych “Mikomax” Sp. z o.o. and the “Mikomax” Sp. z o.o.
This purchase marked the final stage of the acquisition process, which began with the signing of the investment agreement in 2021 and continued with the acquisition of a controlling stake in 2022, following approval from the Office of Competition and Consumer Protection (UOKiK).
DT’s advisory role included comprehensive legal support for the Haworth group at all stages of the transaction — from preparing and negotiating investment documentation, through obtaining the necessary regulatory approvals, to finalizing and closing the acquisition.
Haworth Capital is part of the international Haworth group, led by the U.S.-based company Haworth, Inc. The group is a global manufacturer of office furniture and workspace solutions, operating in more than 120 countries.
Mikomax is a well-known Polish manufacturer of office furniture, including acoustic booths sold under the Hushoffice brand. For years, the company has been delivering solutions that support modern work environments, combining functionality with innovative design.
Through this transaction, the Haworth group has expanded its portfolio with innovative acoustic solutions and strengthened its presence in Central and Eastern Europe, combining global reach with Polish design and manufacturing expertise.
The transaction was led by advocates Małgorzata Kacperska and Sabina Kubsik, with the team also including attorneys-at-law: Tomasz Górniak and Marcin Kasprzyk, as well as trainee attorney-at-law Polina Fedko.
