DRZEWIECKI TOMASZEK advised Harbin B.V. in connection with the second stage of the disposal of their 35% shareholding in Grupa Żywiec S.A. to The HEINEKEN Company for approximately PLN 1.68 billion (EUR 360 million).
DT advised on the first stage of the transaction comprising the sale of 28.2% shares for approximately PLN 1.4 billion (EUR 300 million) through a block trade in October 2022. Subsequently, DT represented Harbin in connection with the second stage of the transaction which comprised the sale of the remaining 6% shares for approximately PLN 280 million (EUR 60 million) through a public tender offer and minority shareholder squeeze-out. The second stage of the transaction was completed in January 2023.
As a result of the transaction, Heineken has significantly increased its stake in Grupa Żywiec S.A., and Harbin B.V. is no longer a shareholder in the company.
Grupa Zywiec S.A. is one of the largest beer producers in Poland and has been publicly traded on the Warsaw Stock Exchange continuously since 1991. Harbin B.V. is a Dutch investment company that makes mezzanine and equity investments in companies and projects across a broad range of industries.
